Terms of Service

way-point is operated by Waypoint.io LLC, and in these terms of service (the "Terms"), "way-point", "we" and "us" mean Waypoint.io LLC, while "You" means the individual using it.

These Terms constitute a contract between you and us, and they govern the way-point site, the way-point application, and everything we make available through them. By using way-point you agree to be bound by these Terms, and if you do not agree to them, you must not use way-point.

Our Acceptable Use and Event Responsibility Policy (the "Acceptable Use Policy") is incorporated into this contract by reference, and it establishes the rules governing meets, venues and conduct. These Terms are what render those rules binding, so review the Acceptable Use Policy before you post a meet.

You must be 18 or older: way-point is intended for adults, we do not establish accounts for children, and if you are under 18 you must not sign up.

You must provide accurate information and keep it current. Your account belongs to you alone, so maintain the security of your sign-in credentials; you are responsible for all activity that occurs under your account, and you must notify us immediately if another person obtains access to it.

We may refuse service to anyone, and we may decline to establish an account without providing a reason.

"Your Content" means everything you post, including photos, meet details, club names, car builds, comments, and the rest.

You own Your Content, and posting it does not alter that ownership.

To operate the application we require your permission to use it, and you therefore grant us the right to host, store, copy, crop, resize and display Your Content, and to incorporate it into the materials the application generates: flyers, share cards, recap posts and link previews. That license is royalty-free and worldwide, because the web is.

We exercise the license to operate way-point and to promote way-point, and for no other purpose. The license terminates when you delete the content or close your account, although two things can outlast that termination: backups require time to cycle out, and copies that other people have already saved or shared remain beyond our reach, so we cannot recover them.

You warrant that you hold the rights to everything you post: do not post a photograph you do not own or have permission to use, and do not represent someone else's work as your own.

We may remove any content, suspend, terminate or ban any account, and withdraw any meet or club, and where safety is at stake we may act first and explain afterwards.

We do not review everything before it is published, and we are under no obligation to do so. Nothing in these Terms makes us the arbiter of what members post, nothing in them represents that we have reviewed it, and acting upon one report does not obligate us to act upon the next.

Everything in this section is a right we hold, and not a promise that we will exercise it.

Read this part twice.

way-point does not run meets: we do not staff them, inspect them, insure them, or attend them, and we do not check venues or vet organizers or the people who attend. A meet you find here belongs to its organizer, and not to us.

Going to a meet is your choice and your risk; cars, lots, crowds and roads carry genuine danger, you could be injured, and your car could be damaged. When you attend, you assume that risk yourself.

Accordingly, you agree not to commence a claim against us concerning anything that occurs at a meet, on the way to one, or after one, and that release covers injury, death, damage, theft and loss, and extends to the conduct of an organizer, of another guest, and of the venue. It does not cover our own bad conduct, where the law says that cannot be waived.

If you organize a meet, that meet is yours, and you are responsible for the venue, the permits, the crowd and the law; if someone commences a claim against us arising out of your meet, you agree to indemnify us for the costs we incur.

way-point is neither a shop nor a marketplace, and we do not sell cars, parts or tickets.

Members transfer builds and parts to one another independently, and a sale you arrange here is between you and the other person, to which we are not a party. We do not verify the car, the seller, the buyer or the money, so if the transaction goes wrong, resolving it is your responsibility.

way-point has a free plan, and free stays free.

Two paid plans exist: Pro at $5 a month, and Ultimate at $15 a month. A plan belongs to a member rather than to a club, and it covers every club that member owns, so a club operates on the plan of its owner.

A paid plan renews automatically, and we charge your card every month until you cancel. There is no end date and no term to expire.

You may cancel at any time by going to your account page and pressing Cancel plan; that is the entire process, and we will not ask you to call or write in.

Cancellation does not cut you off that day: your plan continues to the end of the month you have already paid for, after that date your clubs revert to the free plan, and if you change your mind before then, you may resume the plan.

We do not refund part of a month, so if you cancel on day three you retain the plan through the end of the period, but no money is returned, although we may nevertheless issue a refund where we consider it fair.

We may change what a plan costs, and if we do, we will email you at least 30 days before the new price is charged to your card, so cancel before that date if you do not want it.

Tax may be added where the law requires it; Stripe processes the payment, and we never see your full card number.

way-point is provided as it is: we do not promise that it will always be available, that it is free of defects, or that it will never lose data, and we do not promise that a meet listing is accurate, that a lot is safe, or that an organizer is who they claim to be.

To the fullest extent permitted by law, we make no warranty of any kind, spoken or written. Some states do not allow that. Where yours does not, this part may not apply to you.

To the fullest extent permitted by law:

• We have no liability to you for lost profit, lost data, lost time or a lost meet.
• We have no liability to you for the actions of other people, whether here or at a meet.
• If a court nevertheless finds us liable to you, our aggregate liability is limited to the amount you paid us in the 12 months preceding the claim, and if you paid us nothing, the cap is $100.

Some states limit how far a term like this can go. Where yours does, it applies as far as it can and no further.

Do not post work that is not yours to post.

If something here copies your work, notify us: email hello@way-point.io and provide us with:

• what was copied, and where it appears on way-point (a link helps)
• proof that the work is yours
• your name, address, telephone number and email address
• a statement that you believe this use was not authorized
• a statement, under penalty of perjury, that what you have sent is true

We read every notice we receive, we remove work that infringes, and we terminate the accounts of repeat infringers; if you believe we have made a mistake, write to the same address and explain why.

You may leave at any time by closing your account from the account page, which begins a 30 day waiting period during which you may change your mind, and after that period expires we delete your data.

We may also terminate your access, with or without notice, if you breach these Terms or the Acceptable Use Policy.

Certain provisions survive the closing of your account: section 5, section 8, section 9, and section 14.

We may amend these Terms, and when we make a substantive change we will post the revised version and date it at the top. If the change matters to you, we will notify you in the application or by email, and if you continue to use way-point after that, you have accepted it.

We provide notice to you by writing to the email address on your account, or by informing you within the application, so keep that address current; you may reach us at hello@way-point.io.

North Carolina law governs these Terms, whatever state you reside in.

A dispute proceeds to a state or federal court in North Carolina, and you consent to the jurisdiction of those courts and agree that North Carolina is a fair venue in which to hold it.

There is no arbitration clause in these Terms, and you retain your right to join a class action; we omitted both deliberately.

If a court invalidates one provision of these Terms, the remainder continues in force; our failure to enforce a provision immediately is not a waiver of it, and we may still enforce it later. These Terms and the Acceptable Use Policy constitute the entire agreement between us, and you may not assign this agreement to anyone else, although we may assign it if the company is sold or merged.
